FABA FILMS — NON-EXCLUSIVE STREAMING LICENSE AGREEMENT

By submitting your film to Faba Films (“Platform”), you (“Licensor”) agree to the following terms and conditions governing the non-exclusive distribution of your content (“Content”).
1. Non-Exclusive License & Artist Control
By submitting your film to Faba Films, you agree to a non-exclusive license.
Upon approval, your film enters its elected streaming timeline while you retain 100% ownership and control of your work.
As a true For Artists, By Artists platform, Faba Films believes filmmakers should decide when and how their work is streamed and viewed. You remain free to distribute your film elsewhere at any time and on any platform without restriction.
You may request removal of your film from Faba Films for any reason by emailing submissions@fabafilms.com or by using the contact form on our website. Faba Films will remove the Content within a commercially reasonable timeframe.
2. Grant of Rights
Licensor grants Faba Films a worldwide, non-exclusive, royalty-free license to:
Host, stream, publicly perform, and digitally transmit the Content
Display the film title, description, artwork, stills, and trailers
Promote and market the Content on Faba Films’ website, applications, social media, email campaigns, and promotional materials
This license is limited solely to the purposes of operating and promoting the Faba Films platform.
3. License Term & Streaming Timeline
The initial license term shall be one (1) month, three (3) months, or one (1) year, beginning on the first day the Content becomes available for streaming.
Licensor may extend the license term at their discretion by continuing participation on the platform or through written confirmation with Faba Films.
4. Ownership & Rights Representation
Licensor retains full ownership of the Content.
Licensor represents and warrants that:
They are the rightful owner or fully authorized rights holder
All music, footage, performances, and materials are properly cleared
The Content does not infringe upon any third-party rights
5. Revenue & Compensation
Licensor shall receive 100% of the net advertising revenue generated directly from streaming of the Content on Faba Films, subject to the platform’s current payout schedule and minimum payout threshold.
6. Platform Control & Technical Standards
Faba Films may encode, format, subtitle, compress, and display the Content as necessary for streaming and user experience.
While Faba Films determines placement and presentation on the platform, promotional placement is not guaranteed.
7. Termination & Removal
Either party may terminate this Agreement at any time.
Upon termination or upon Licensor’s removal request, Faba Films will remove the Content from active streaming within a commercially reasonable timeframe.
8. Indemnification
Licensor agrees to indemnify and hold harmless Faba Films from any claims, damages, losses, or expenses arising from the Content or breach of this Agreement.
9. Limitation of Liability
Faba Films shall not be liable for any indirect, incidental, or consequential damages related to the distribution of the Content.
10. Confidentiality
All non-public business and operational information exchanged under this Agreement shall remain confidential.
11. Governing Law
This Agreement shall be governed by the laws of the United States Of America.
12. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.
Licensor Acceptance
By submitting Content to Faba Films, Licensor confirms that they have read, understood, and agreed to all terms of this Agreement.
